I incorporated one a few years ago. Call the state corporate commission in whichever state you choose, or look on the internet. They have very simple forms. Fill them in, send in with the fee. In my state, Washington, it requires one person to be the "incorporator", and you can choose who will be in the key positions.
The fee was greatly reduced for charities, about $20, as I recall. I think you have to say what kind of non-profit it is; most are 501(c)3, which are able to accept donations and issue tax-deductible receipts. Another category is 501(c) 8, for fraternal organizations. Look up www.irs.gov or just search google or yahoo for "section 501" for explanations to determine if another category is more suitable for you.
